Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and AutoCertify (“AutoCertify,” “we,” “us,” or “our”) regarding your access to and use of our websites, applications, and related services (the “Services”).

1. Acceptance of Terms

By creating an account, accessing the dashboard, or otherwise using the Services, you agree to these Terms and our Privacy Policy and Cookie Policy. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and “you” includes that organization.

If you do not agree, do not use the Services.

2. The Services

AutoCertify provides tools to design certificate templates, upload recipient data, generate personalized certificate files, run email distribution campaigns, manage credits/plans, and verify certificates via unique IDs and public verification pages.

Features may evolve. We may add, modify, or discontinue functionality with reasonable notice where practicable. Beta or preview features may be offered “as is” and may change or end at any time.

3. Accounts and organizations

  • You must provide accurate registration information and keep your credentials confidential.
  • You are responsible for activity under your account and for managing organization memberships and roles appropriately.
  • We may suspend or terminate accounts that are inactive, unpaid, or that violate these Terms or applicable law.

4. Customer content and recipient data

“Customer Content” means templates, logos, signatures, recipient lists, certificate fields, emails, and other materials you or your organization submit to the Services.

  • You retain ownership of Customer Content. You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and secure the Services.
  • You represent that you have all rights and lawful bases needed to upload and process Customer Content (including recipient personal data) and to send certificate emails.
  • You are responsible for the accuracy of recipient data and for certificate content you issue.
  • Public verification pages may display limited authenticity information tied to a certificate ID. Do not place highly sensitive personal data in fields you intend to expose publicly.

5. Acceptable use

You agree not to:

  • Use the Services for unlawful, deceptive, discriminatory, or harmful purposes
  • Issue certificates that infringe intellectual property, privacy, or publicity rights
  • Upload malware, attempt unauthorized access, scrape, overload, or disrupt the Services
  • Send spam or emails in violation of anti-spam / anti-phishing laws
  • Misrepresent affiliation with AutoCertify or claim that we endorse a certificate’s underlying achievement
  • Resell or sublicense the Services except as expressly permitted in a written agreement

6. Plans, credits, billing, and taxes

  • Paid plans, credit packs, and pricing are described in the product or checkout flow and may change prospectively.
  • Payments are processed by third-party providers (for example Razorpay). You authorize us and our processors to charge applicable fees.
  • Fees are generally non-refundable except where required by law or expressly stated otherwise.
  • You are responsible for taxes associated with your purchases, excluding taxes based on our net income.
  • Failure to pay may result in suspension of paid features or the account.

7. Intellectual property

The Services, including software, branding, UI, and documentation, are owned by AutoCertify or its licensors and are protected by intellectual property laws. Except for the limited rights expressly granted to use the Services, no rights are transferred to you.

Feedback you provide may be used by us without obligation to you.

8. Third-party services

The Services may interoperate with third-party products (auth providers, email/SMTP, cloud storage, payments, analytics). Your use of those products may be subject to their terms. We are not responsible for third-party services we do not control.

9. Privacy

Our processing of personal information is described in the Privacy Policy. For organization customer data where we act as a processor, enterprise customers may request a data processing addendum by contacting legal@autocertify.in.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT CERTIFICATES WILL MEET ANY PARTICULAR REGULATORY, ACADEMIC, OR INDUSTRY ACCREDITATION REQUIREMENT.

Verification indicates that a certificate record exists in our systems as issued through the Services; it does not independently validate the underlying achievement beyond the data provided by the issuing organization.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTOCERTIFY AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM (OR USD $100 IF YOU HAVE NOT PAID ANY FEES).

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You will defend and indemnify AutoCertify against claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from Customer Content, your emails/campaigns, your violation of these Terms or law, or your infringement of third-party rights.

13. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access for breach, risk to the platform or other users, non-payment, or legal requirements. Upon termination, your right to use the Services ends; provisions that by nature should survive (including IP, disclaimers, limitations, indemnity) will survive.

14. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to mandatory consumer protections in your country of residence, courts in courts located in India will have exclusive jurisdiction over disputes arising from these Terms, except that we may seek injunctive relief in any jurisdiction to protect our IP or security.

15. Changes to these Terms

We may update these Terms periodically. We will post the revised Terms and update the “Last updated” date. Continued use after the effective date constitutes acceptance, except where additional consent is required by law.

16. Miscellaneous

  • If any provision is unenforceable, the remaining provisions remain in effect.
  • These Terms are the entire agreement regarding the Services and supersede prior conflicting terms for the same subject matter, unless a separate signed enterprise agreement expressly prevails.
  • You may not assign these Terms without our consent; we may assign them in connection with a corporate transaction.
  • Failure to enforce a provision is not a waiver.
